Terms of Service

1. Acceptance of Terms

By accessing or using Vinta ("the Service"), the sales tracking and team management platform available at this site, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including visitors, registered users, and team members.

2. Description of Service

Vinta is a web-based platform that provides:

  • Sales tracking and reporting through customizable forms
  • Team management with role-based access and invitations
  • Analytics dashboards for sales performance insights
  • Standard Operating Procedure (SOP) library management
  • Third-party integrations including Google Calendar and Slack
  • Email and in-app notification systems

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration and Security

To use Vinta, you must create an account by signing in through Google OAuth. By creating an account, you agree that:

  • You will provide accurate and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activity that occurs under your account
  • You will notify us immediately of any unauthorized access to your account
  • You must be at least 13 years old to create an account
  • You may not create an account on behalf of another person without their authorization

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.

4. Subscription Plans and Billing

4.1 Free Plan

The Free plan includes limited access to Vinta features: 1 workspace and up to 3 team members. The Free plan is available at no cost and may be subject to feature limitations.

4.2 Pro Plan

The Pro plan is billed monthly at $97/month and provides unlimited workspaces, unlimited team members, and access to all features including Google Calendar integration, Slack integration, SOP library, and priority support.

4.3 Payment Processing

All payments are processed through Whop, our third-party payment provider. By subscribing to the Pro plan, you agree to Whop's terms of service and payment policies. We do not store credit card numbers or bank account details on our servers.

4.4 Cancellation and Refunds

  • You may cancel your Pro subscription at any time through your Whop account
  • Cancellations take effect at the end of the current billing period
  • Upon cancellation, your account will revert to the Free plan
  • Refunds are handled in accordance with Whop's refund policy
  • We do not provide prorated refunds for partial billing periods

4.5 Price Changes

We may change subscription pricing with at least 30 days' notice. Price changes will apply to the next billing cycle after the notice period.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation
  • Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to the Service
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Use automated systems (bots, scrapers, crawlers) to access the Service without our written permission
  • Upload or transmit viruses, malware, or any other malicious code
  • Impersonate any person or entity, or falsely represent your affiliation with a person or entity
  • Collect or harvest personal information of other users without their consent
  • Use the Service for any purpose that is competitive with Vinta

6. User Content and Data

6.1 Ownership

You retain full ownership of all data, content, and materials you submit to Vinta ("User Content"). We do not claim any intellectual property rights over your User Content.

6.2 License

By submitting User Content, you grant us a limited, non-exclusive license to use, store, and process your content solely for the purpose of providing and improving the Service.

6.3 Responsibility

You are solely responsible for the accuracy, quality, and legality of your User Content. You represent that you have all necessary rights to submit your content to the Service.

6.4 Aggregated Data

We may use anonymized, aggregated data (which cannot identify individual users) for analytics, research, and service improvement purposes.

7. Third-Party Integrations

Vinta integrates with the following third-party services:

We are not responsible for the availability, accuracy, or practices of third-party services. Your use of these integrations is subject to the respective third party's terms and policies. You may disconnect any integration at any time through Settings.

8. Intellectual Property

The Service, including its original content (excluding User Content), features, functionality, design, and branding, is owned by Vinta and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

9. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted, timely, secure, or error-free operation. We may perform scheduled maintenance, deploy updates, or experience unplanned downtime. We are not liable for any loss or damage resulting from service interruptions.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses
  • Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for any loss or damage resulting from your failure to maintain the security of your account

11. Indemnification

You agree to indemnify, defend, and hold harmless Vinta, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Termination

Either party may terminate this agreement at any time:

  • You may terminate by deleting your account through Settings or contacting us
  • We may terminate or suspend your account immediately, without prior notice, if you violate these Terms
  • Upon termination, your right to use the Service ceases immediately
  • We will retain your data for 30 days after termination, after which it will be permanently deleted
  • Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnification, and limitations of liability

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the effective date at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
